Description

The course aims to provide a sound academic grounding in key areas of company law. It will examine the key topics of company incorporation, separate corporate personality, company constitutions and shareholder agreements, company capacity, legal relationships with third parties, company liability for criminal and civil wrongs, allocation of power within a company, shareholders in general meeting, the board of directors, duties of directors, equity financing, accounts and disclosure, and enforcement.

Learning Outcomes

  • The objectives of the company law course are to enable you to:
  • Explain the meaning and significance of selected company law principles
  • Identify and articulate issues arising in a multi-issue company law problem
  • Apply legal reasoning to generate suitable responses to issues arising in a multi-issue company law problem and, if appropriate, make a reasoned choice amongst alternative responses and/or exercise some professional judgment.
  • Locate, evaluate and synthesise information from a range of primary and secondary sources relevant to a given research topic.
  • Critically examine issues of principle and policy raised by New Zealand’s company law framework and its operation in practice.
  • Produce a written opinion that follows the conventions set out in the New Zealand Law Style Guide.
  • Identify and reflect on global influences on New Zealand company law.
  • Work independently and manage your time in order to meet course deadlines.
